Terms of Use

Last updated: April 18, 2026

Thank you for visiting the Novigens website (the “Site”). These terms of use govern your access to and use of the Site. Novigens Inc. is a Delaware C-corporation headquartered in California.

Informational purpose

The Site is provided for general information about Novigens. Content is subject to change without notice. Nothing on the Site constitutes an offer, commitment, representation, or warranty of any kind.

Acceptable use

Intellectual property

The Site and its contents, including text, graphics, diagrams, logos, and source, are owned by Novigens or its licensors and are protected by applicable intellectual property laws. The Novigens name and marks are trademarks of Novigens Inc. Certain Novigens technologies and methods are the subject of one or more pending patent applications in the United States and internationally.

Third-party links

The Site may contain links to third-party sites. We do not control and are not responsible for the content, privacy practices, or security of those sites.

About product references on this Site

This Site references software products, pipelines, and engagements offered by Novigens (collectively, “Products”). References on this Site are for informational and marketing purposes only. Use of any Novigens Product is governed by a separate written agreement between Novigens and the customer; nothing on this Site constitutes a binding product license, service commitment, or performance warranty. The disclosures in the sections below apply to the information about Products as presented on this Site.

AI-assisted outputs

Novigens Products are AI-assisted. Outputs generated, surfaced, or suggested by Novigens Products may contain errors, omissions, or inaccuracies, and are not a substitute for qualified engineering judgment. Outputs are not certified for use in safety-critical, safety-instrumented (SIS / SIL), control-loop, or regulatory contexts without independent validation by qualified personnel. The customer is responsible for reviewing and approving any output before relying on it for operational, engineering, safety, quality, or compliance decisions.

Extraction scope and coverage

The accuracy, completeness, and coverage of any Novigens-extracted ontology, model, or analysis depend on the quality, completeness, accessibility, and accuracy of the technical materials provided by the customer. Novigens cannot recover or represent knowledge that is not present in the source material, including but not limited to undocumented field modifications, post-commissioning changes, tribal knowledge held by individuals, and information withheld or omitted for any reason. Engineering review checkpoints within the Novigens pipeline are narrow by design and do not constitute a complete audit of the source material. Re-extraction may be required when the underlying equipment, configuration, or operating context changes.

Customer materials, deliverables, and intellectual property

As between the customer and Novigens, the customer retains all rights to the technical materials it provides to Novigens. Rights to ontologies, models, analyses, software, and other deliverables produced by Novigens are governed by the separate written agreement applicable to the engagement; customers are generally granted the rights necessary to use those deliverables for their intended business purpose, with the precise scope of any license or assignment — including duration, exclusivity, transferability, and permitted modifications — defined in that engagement-specific agreement. Novigens does not train foundation or other machine-learning models on customer-provided materials, and does not retain customer-provided materials beyond what is necessary to complete the engagement. Novigens may retain generalized, de-identified technical patterns observed during engagements for the purpose of improving Novigens Products, provided such patterns do not identify the customer or permit reconstruction of customer-specific materials. The customer is responsible for ensuring that it holds the rights necessary to share input materials with Novigens, including any required consent from third parties (for example, original-equipment manufacturers, system integrators, or licensors of shared design assets).

Illustrative content

Diagrams, architecture figures, ontology graphs, temporal plots, scenarios, narratives, vignettes, timelines, accuracy claims, ROI figures, and case stories shown on this Site are illustrative. Every customer ontology is extracted fresh from that customer’s own source material; published visualizations and figures are abstracted, generalized, hypothetical, or composite, and do not represent any specific customer, engagement, or equipment. Past performance, where mentioned, does not predict future results, and outcomes vary by engagement scope, source-material quality, and operating context.

Platform capabilities and design-partner engagements

Capabilities described on this Site reflect both the Novigens architecture and roadmap. Some are shipped today; others are being refined through design-partner and pilot engagements. Scope, form, and timelines vary by engagement.

Speed and time-to-value claims

This Site refers to extraction timelines, delivery timelines, and time-to-value characteristics — including phrases such as “in days,” “days, not years,” “days, not quarters,” and “days, not months.” These references describe representative outcomes from specific deployments and may not be representative of any particular engagement. Actual results vary. No published timeline constitutes a commitment, warranty, or guarantee of any specific extraction duration, delivery window, or throughput.

Upstream service dependencies

Certain Novigens Products and pipeline stages rely on third-party foundation-model providers and other upstream services. Novigens engages these providers under contractual terms intended to prevent retention, reuse, or training on customer-provided materials. Novigens does not control, and does not warrant, the availability, performance, security practices, or contractual posture of upstream providers. Continuity of Novigens Products may be affected by changes in upstream-provider availability, pricing, or terms.

Regulatory and jurisdictional

The customer is solely responsible for determining and complying with all laws, regulations, codes, and standards applicable to the customer’s industry, equipment, and operating environment, including but not limited to FDA 21 CFR Part 820, IEC 61508, IEC 62443, ISO 26262, NIST SP 800-82, and equivalent jurisdictional requirements. Novigens does not warrant compliance with any specific regulatory framework absent an explicit written engagement-specific scope. Availability of Novigens Products may vary by jurisdiction, including limitations imposed by export-control, sanctions, and dual-use regulations.

No warranty

The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Novigens disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the fullest extent permitted by law, Novigens will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of the Site.

Governing law

These terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Exclusive venue is in the state or federal courts located in San Francisco County, California.

Changes

We may update these terms from time to time. The “Last updated” date above reflects the most recent revision.
